Welcome to YutoAI. This service is operated by Yuto International Group Limited (Yutong International Group Co., Ltd., referred to as "YutoAI", "the Company", "we", "us", or "our"). These Terms apply when you access, register for, purchase, top up, log in to, call an API from, or otherwise use YutoAI websites, products, services, APIs, applications, checkout functions, and related features.
By accessing or using YutoAI, including AI chat, file upload, API services, paid plans, enterprise services, or related products, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must stop using the service.

2. Scope of Services
YutoAI provides services including AI conversation, text generation, image generation, document processing, academic assistance, translation, summarization, writing assistance, coding assistance, online AI services, developer APIs, model aggregation, quota management, billing, console services, enterprise AI agents, SaaS, private deployment, technical consulting, custom development, subscriptions, top-ups, service credits, plans, enterprise contracts, and other digital services. Specific features, pricing, billing methods, model availability, quota rules, delivery methods, and service scope are subject to the applicable product page, order page, console, service description, quotation, or written agreement.
3. Service Availability by Country or Region
YutoAI provides the service only in countries and regions currently supported by YutoAI and/or its upstream AI service providers. As a general compliance standard, the availability of YutoAI services is aligned with the currently supported countries and territories of OpenAI and other relevant upstream providers, as updated from time to time, together with applicable laws, export controls, sanctions rules, platform policies, and YutoAI's own compliance requirements. Unless we state otherwise in writing, Mainland China is not a supported service region. Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan may use the service, provided that such use also complies with applicable laws, export controls, sanctions rules, upstream provider availability, and these Terms. You may not use VPNs, proxies, false addresses, account transfers, third-party registration, third-party top-ups, or other circumvention methods to register for, access, purchase, top up, or use the service from an unsupported country or region. If we determine that your registration, access, payment, use, or beneficial location is outside the supported scope, or may cause YutoAI, you, or an upstream provider to violate applicable law, export controls, sanctions rules, platform policies, or service terms, we may refuse transactions, restrict features, suspend or terminate the service, cancel orders, freeze accounts, or take other necessary measures.
4. Account Registration and Security
You must provide true, accurate, complete, and lawful information when registering, logging in, purchasing, or using the service. You are responsible for keeping your account, password, API keys, access tokens, payment credentials, and other identity credentials secure. You may not rent, lend, sell, transfer, share, resell, or otherwise misuse accounts, API keys, plan quotas, or service permissions. Losses caused by poor credential management, account sharing, leaked API keys, weak passwords, or unauthorized use are your responsibility. If we detect abnormal login, bulk abuse, malicious requests, resale, fraud, attacks, attempts to bypass limits, or other risky activity, we may limit, freeze, suspend, terminate, reset keys, or require identity verification.
5. Acceptable Use
You agree to use the service lawfully, in good faith, and with due care. You may not use the service to violate Hong Kong law, laws applicable in your location, or any other applicable rules; endanger public safety or public interests; generate or distribute illegal, fraudulent, harassing, hateful, extremist, violent, sexual, gambling-related, infringing, or otherwise improper content; infringe privacy, portrait, reputation, intellectual property, trade secret, or other rights; process or disclose personal data, sensitive information, trade secrets, credentials, or confidential materials without authorization; generate malware, phishing content, scam scripts, risk-control bypasses, spam, attack tools, scraping abuse, or other destructive content; impersonate others or create misleading deepfakes; use a real person's likeness, voice, identity, or image-derived content without lawful authorization; reverse engineer, crack, bypass model restrictions, avoid billing, bypass safety policies, attack systems, or interfere with normal operations; or use the service for unauthorized resale, mirror sites, wrapper services, shared-account platforms, or other commercial uses that harm YutoAI's lawful interests. We may respond to violations by issuing warnings, removing content, limiting features, rate limiting, suspending or banning accounts, terminating contracts, refusing refunds, or cooperating with complaints and regulatory investigations.
6. AI Output Disclaimer
AI output is generated automatically by artificial intelligence models and may be wrong, incomplete, biased, outdated, inaccurate, or unsuitable for a specific use. AI output does not represent YutoAI's position, opinion, promise, or guarantee. It is not legal, medical, financial, investment, tax, psychological, engineering safety, immigration, or other professional advice. You are responsible for verifying accuracy, legality, ownership, and suitability before relying on, publishing, trading on, or commercializing any output. Except where mandatory law provides otherwise, YutoAI is not liable for losses, disputes, complaints, or legal responsibilities arising from your use, reliance on, distribution, modification, or commercialization of AI output.
7. API Service Rules
If you use YutoAI APIs or developer services, you must follow the console, API documentation, plan descriptions, pricing pages, and technical specifications. API quotas, concurrency, rate limits, model availability, context length, call prices, billing units, and supported models may change due to upstream providers, technical costs, compliance requirements, or business adjustments. You may not disclose, sell, share, or publish API keys, or bypass billing, rate limits, or risk controls through scripts, proxy pools, multiple accounts, or other methods. You are responsible for all requests, inputs, outputs, and end-user conduct initiated through your account, API key, or application. If your application serves end users, you must provide necessary terms, privacy notices, AI disclaimers, and complaint channels.
8. User Content and Intellectual Property
You retain rights to input content, uploaded files, prompts, business materials, and other user content that you lawfully own. You grant YutoAI the right to process, transmit, cache, store, analyze, and display user content as necessary to provide, maintain, protect, troubleshoot, and improve the service. Unless otherwise stated, authorized by you, or separately agreed in writing, YutoAI will not use enterprise customer content submitted through APIs, private deployments, or enterprise services to train public models. YutoAI's software, websites, interfaces, architecture, model orchestration, code, documents, trademarks, logos, brand, databases, algorithms, designs, and business processes belong to YutoAI or the relevant rights holders. You may not copy, adapt, distribute, sell, rent, reverse engineer, mirror, scrape, or otherwise infringe YutoAI intellectual property without written permission.
9. Subscriptions, Top-ups, and Billing
Services may be billed through subscriptions, usage-based fees, prepaid quotas, plans, credits, API call quotas, enterprise contracts, one-time service fees, or other methods. Product names, service contents, prices, currencies, billing cycles, quotas, validity periods, model scopes, and restrictions are subject to the applicable product page, order page, console, quotation, or written agreement. Before payment, you must carefully confirm the product, service content, price, currency, billing cycle, quota, validity period, restrictions, and refund rules. Completing payment means you confirm and agree to the order information and billing and refund rules under these Terms. Additional costs caused by exchange rates, payment channels, banks, card networks, taxes, cross-border payments, or third-party fees are borne by you unless stated otherwise.
10. Refund Policy
YutoAI services are primarily digital services, AI services, virtual goods, API call quotas, online subscriptions, software services, technical services, or enterprise custom services. Once opened, delivered, called, consumed, or subject to upstream costs, they usually cannot be returned. Except as expressly provided in these Terms or required by mandatory law, services that have been opened, used, delivered, consumed, or generated upstream costs are generally not refundable without cause. Refunds may be available for duplicate charges, erroneous charges verified as caused by YutoAI or a payment system, successful payment where the service was not opened and not used, platform-initiated permanent cancellation of a prepaid service with unused valid service period or quota, or other cases required by law. Refunds are generally not available for used subscriptions, consumed API quotas, credits, tokens, calls, generated content, delivered digital goods, technical services, user purchase mistakes, change of mind, failure to cancel, subjective dissatisfaction, account restrictions caused by violation, third-party or network issues outside YutoAI's control, or enterprise services that have been scheduled, staffed, started, or partly delivered unless a written contract says otherwise. To request a refund, contact [email protected] with your account, order or transaction record, payment time, amount, payment method, refund reason, and supporting materials.
11. Third-party Services and Upstream Providers
The service may access or depend on third-party models, cloud services, payment services, messaging services, risk-control services, data storage, analytics tools, and other technical services. You understand that some AI models, APIs, payments, and infrastructure are provided by third parties; your inputs, request parameters, files, logs, or necessary information may be sent to those providers within the scope needed to deliver the service; and third-party services may change, slow down, fail, become unavailable, or adjust terms due to policy, region, pricing, rate limits, maintenance, risk control, compliance, or force majeure. YutoAI does not guarantee permanent availability, complete accuracy, or continuous compatibility of third-party services, but will use reasonable commercial efforts to select compliant providers and protect user interests.
12. Service Changes, Suspension, and Termination
YutoAI may adjust, interrupt, suspend, or terminate all or part of the service due to maintenance, upgrades, migration, security fixes, upstream model or cloud service changes, payment or network changes, legal or regulatory requirements, compliance or security needs, user violations, long-term inactivity, non-payment, arrears, abnormal risk, force majeure, or events beyond reasonable control. If YutoAI permanently stops a prepaid and unused service, YutoAI may, within applicable law and order rules, provide refunds, balance conversion, alternative services, or other reasonable arrangements for unused portions.
13. Enterprise Services and Private Deployment
If you purchase enterprise services, private deployment, custom development, AI agents, technical consulting, or other B2B services, delivery scope, fees, schedule, acceptance, after-sales support, confidentiality, data processing, security responsibilities, refunds, and breach liability are governed by the written contract, order, quotation, or supplemental agreement signed by both parties. If an enterprise contract conflicts with these Terms, the separately signed written contract prevails.
14. Complaints and Infringement Handling
If you believe content, output, account behavior, or user behavior in the service infringes your lawful rights, contact [email protected] and provide necessary evidence. After receiving a valid complaint, we may remove content, restrict or freeze accounts, suspend or terminate services, request authorization proof from users, or cooperate in dispute handling as appropriate.
15. Limitation of Liability
To the maximum extent permitted by applicable law, YutoAI is not liable for indirect, incidental, special, punitive, consequential, profit, business interruption, data loss, goodwill, or opportunity losses. Unless mandatory law provides otherwise, YutoAI's total liability for any order, service, or dispute will not exceed the amount actually paid by the user to YutoAI for the relevant service that caused the dispute during the previous three months.
16. Force Majeure
YutoAI is not liable for breach caused by events beyond its reasonable control that result in service interruption, delay, data error, payment failure, access failure, delivery failure, or inability to perform. Such events include natural disasters, war, riots, government action, judicial orders, regulatory changes, cyberattacks, viruses, hacking, payment channel failures, cloud service failures, carrier failures, upstream model interruptions, international network instability, power outages, strikes, and other events beyond reasonable control.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes arising from these Terms or the service should first be resolved through friendly consultation. If consultation fails, the dispute shall be submitted to a court with jurisdiction in the Hong Kong Special Administrative Region, unless the parties agree otherwise in writing.
18. Updates to These Terms
YutoAI may update these Terms due to business development, legal or regulatory requirements, risk-control needs, or product changes. Updated Terms will be published on the relevant website page. Your continued use of the service after an update means you accept the updated Terms.
